Vertex Hospitality is looking for an experienced Real Estate Counsel to spearhead all legal matters related to the company's diverse real estate portfolio. This role offers the opportunity to work closely with cross-functional teams to structure, negotiate, and execute commercial leases and related legal agreements, ensuring smooth operational and legal compliance across multiple brands.

Responsibilities

• Draft, review, and negotiate commercial leases, amendments, renewals, and terminations 📝
• Lead and support Letters of Intent (LOIs), aligning them with business and financial goals 🎯
• Partner with internal teams to structure favorable lease terms, including rent, CAM, tenant improvements, and use clauses 🤝
• Oversee execution of agreements (leases, MSAs, etc.) and ensure consistency across brands and locations 🌍
• Serve as the primary legal contact in negotiations with landlords and their counsel 🗣️
• Advise on deal structure and risk allocation during lease negotiations ⚖️
• Support landlord-tenant dispute resolution involving defaults, notices, and enforcement actions 🚩
• Review and advise on legal documents such as Guarantees, Estoppels, and SNDAs 📝
• Handle vendor and construction-related agreements 🏗️
• Identify legal risks and recommend proactive, business-oriented mitigation strategies 💡
• Develop templates and clauses to standardize processes and reduce risks 📄
• Monitor lease compliance and advise on potential defaults or breaches 🔍
• Draft and respond to legal notices, including default and cure communications 📬
• Collaborate with external counsel for complex disputes or litigation ⚖️
• Provide practical legal guidance to non-legal teams 🤝
• Support new store development and expansion efforts across multiple brands 🏪
• Organize and maintain comprehensive lease documentation and tracking systems 📁
• Create scalable legal processes to support a growing multi-brand portfolio 🚀
• Ensure legal compliance with relevant laws, regulations, and company standards ✔️

Qualifications

• Juris Doctor (JD) from an accredited law school 🎓
• Active bar membership in good standing or ability to register as in-house counsel ⚖️
• 3-7+ years of experience in commercial real estate law, with a strong preference for retail or restaurant leasing experience 🏢🍽️
• Expertise in negotiating commercial leases and LOIs 🤝
• Ability to balance legal risks with business objectives in a fast-paced environment ⚡
• Excellent communication skills with the talent to simplify complex legal concepts 🗣️
• Highly organized with meticulous attention to detail 📋
• Bilingual in Mandarin is a mandatory requirement 🀄️
