Vertex Hospitality is looking for a talented Real Estate Counsel to steer the legal aspects of our dynamic real estate portfolio, focusing on retail and restaurant spaces. Responsibilities

• Draft, review, and negotiate commercial leases, amendments, renewals, and terminations 📄
• Lead and support Letters of Intent (LOIs), ensuring they align with business and financial goals 💼
• Collaborate with internal teams to structure favorable lease terms, including rent, CAM, tenant improvement allowances, and use clauses 🤝
• Oversee execution of agreements (leases, MSAs, etc.) and ensure consistency across multiple brands and locations 🏢
• Serve as the primary legal contact in negotiations with landlords and their counsel 🗣️
• Advise on deal structures and risk allocation during lease negotiations ⚖️
• Support landlord-tenant dispute resolution, including defaults, notices, and enforcement actions 📝
• Review and advise on various real estate legal documents like Guarantees, Estoppels, and SNDAs 📑
• Handle vendor and construction agreements to ensure seamless projects 🚧
• Identify legal risks and provide proactive, business-oriented solutions 🛡️
• Develop templates, clauses, and playbooks to promote consistency and mitigate risk 📂
• Monitor lease compliance and advise on defaults or breaches ⚠️
• Draft/respond to legal notices, including default and cure notices 📬
• Partner with external counsel for complex disputes or litigation ⚖️
• Provide clear legal guidance to non-legal teams to support business growth 💡
• Support new store development and expansion initiatives across brands 🚀
• Maintain organized lease documentation and tracking systems 📁
• Create scalable processes to support our growing multi-brand portfolio 🔄
• Ensure compliance with laws, regulations, and company standards ✅

Qualifications

• Juris Doctor (JD) from an accredited law school 🎓
• Active bar membership in good standing (or ability to register as in-house counsel) 📜
• 3–7+ years of experience in commercial real estate law (retail/restaurant experience strongly preferred) 🏢
• Strong negotiating skills in commercial leases and LOIs 🤝
• Ability to balance legal risks with business objectives in a fast-paced environment ⚖️
• Excellent communication skills, capable of simplifying complex legal concepts 💬
• Highly organized with keen attention to detail 🗂️
• Bilingual Mandarin proficiency required 🈶️
