🌟 Position Overview
The US IPO Advisory Manager or Director is a vital member of the US IPO Advisory practice, supporting foreign emerging companies, including startups preparing for public offerings in US markets. This role involves direct client interaction, collaboration with legal counsel and external auditors, and close engagement with internal subject matter experts.
The primary responsibilities include assisting clients with preparing financial statements under USGAAP/IFRS, SEC reporting, and responding to external auditors’ requests. You will also advise on internal controls over financial reporting, with the overarching goal of ensuring clients successfully complete their US IPOs.
📝 Responsibilities
- Lead the preparation of financial statements per USGAAP/IFRS and the financial section of SEC reports.
- Manage external audit preparations, including drafting accounting position memos.
- Engage in discussions with clients, external auditors, and legal counsel to ensure regulatory compliance.
- Maintain professional relationships with clients, auditors, and legal teams.
- Stay informed on industry trends, SEC reporting updates, and accounting standards.
- Apply accounting principles accurately to SEC reports, reviewing new SEC requirements and accounting pronouncements.
- Collaborate with subject matter experts to produce high-quality, precise financial statements and SEC reports.
- Drive process improvements within the US IPO Advisory practice.
- Participate in special projects and ad-hoc requests as needed.
🎓 Qualifications
- Minimum 6+ years of accounting and financial analysis/reporting experience, including familiarity with SEC filings (Form 10-K/20-F/S-1/F-1/F-4/S-4).
- Bachelor’s degree in accounting.
- CPA certification is mandatory.
- Experience with Regulation S-X and S-K is a plus.
- Knowledge of Sarbanes-Oxley 404 and PCAOB audit standards is advantageous.
- Japanese language skills are a plus.
- Self-motivated, detail-oriented, and able to work autonomously or in teams.
- Excellent analytical, organizational, and communication skills.
- Ability to foster effective relationships across different management levels and teams.

For out-of-town candidates, relocation assistance and H1 visa transfer support are available.
